This policy governs applications for and use of Rivfly wholesale accounts worldwide. By checking the agreement box and submitting an application, the applicant confirms that it represents a legitimate retail or professional fishing business and agrees to this policy. Submission does not guarantee approval; a wholesale relationship begins only after Rivfly approves the account.
1. Eligibility and account use
Wholesale accounts are issued to the approved business named in the application and may not be transferred, shared, or used for personal purchases. Dealers must provide accurate business information and keep it current. Rivfly may request reasonable business, resale, tax, or import documentation before or after approval.
2. Rivfly responsibilities
- Provide current wholesale prices and applicable Minimum Advertised Price (MAP) information through the dealer account, price list, product materials, order documents, or written notice.
- Provide reasonable product, availability, and fulfillment information for accepted orders.
- Supply authentic Rivfly products that match accepted order details.
- Notify active dealers of material changes to wholesale pricing, MAP, or this policy.
3. Dealer responsibilities
- Use the account only for the approved business and sell genuine Rivfly products through the business channels disclosed to Rivfly.
- Comply with applicable laws, taxes, permits, customs, and import requirements in every market served.
- Pay all order, shipping, tax, duty, and other agreed charges when due.
- Protect non-public wholesale prices and dealer materials.
- Represent Rivfly products accurately and never imply an agency, franchise, exclusivity, or endorsement that Rivfly has not provided in writing.
4. Orders and payment
- There is no minimum order value for approved wholesale accounts.
- Mixed-SKU orders are allowed. Products must be purchased in their complete listed pack or sales unit; packs may not be split.
- Streamers have no additional per-SKU minimum unless the product listing or a written order quote states otherwise.
- All wholesale orders are prepaid before fulfillment. Rivfly does not offer Net payment terms unless a specific written exception is approved.
- Orders remain subject to acceptance and availability. Rivfly may hold, adjust, split, or decline an order and will communicate material changes before fulfillment.
5. Minimum Advertised Price (MAP)
Certain Rivfly products may have a MAP. The current MAP is the price Rivfly displays or supplies to the dealer through the dealer account, price list, product materials, order documents, or written notice. If Rivfly issues updated MAP information, the newer information controls from its stated effective date.
- Dealers may not publicly advertise a covered product below its current MAP without written Rivfly approval.
- This applies to dealer websites, online stores, marketplaces, paid ads, social media, email promotions, shopping feeds, comparison-shopping services, and printed advertising.
- A public coupon, automatic discount, bundle, gift, rebate, or similar offer that produces a publicly advertised effective price below MAP is treated as below-MAP advertising unless Rivfly approves it in writing.
- MAP concerns advertised prices and does not dictate a dealer’s lawful final resale price. This section applies only to the extent permitted by local law.
Rivfly does not promise continuous monitoring. If a possible issue is identified, Rivfly will normally notify the dealer and allow a reasonable opportunity to correct it. Repeated or unresolved material violations may result in suspension of new wholesale orders or termination of wholesale access, subject to applicable law.
6. Sales channels and promotions
Dealers must keep Rivfly informed of the primary websites, stores, marketplaces, or other channels used to sell Rivfly products. Temporary promotions or exceptions that affect MAP require written approval identifying the applicable products, channels, regions, and dates.
7. Shipping, duties, and fulfillment
Shipping method, origin, timing, and charges are confirmed for each order. Inventory may ship from different fulfillment locations, and Rivfly may split shipments when reasonably necessary. Unless Rivfly agrees otherwise in writing, the dealer is responsible for shipping charges, import duties, taxes, customs clearance, and local compliance costs.
8. Order issues, returns, and product quality
Dealers should inspect shipments promptly and report shortages, order errors, or suspected defects to sa***@****ly.com with the order number, item details, and supporting photos where relevant. Wholesale returns require prior authorization. Any specific written return, warranty, or order terms supplied for an order control for that order.
9. Brand and intellectual property
Approved dealers receive a limited, revocable right to use authorized Rivfly product names, images, and brand materials only to market and sell authentic Rivfly products. Dealers may not register, alter, or misuse Rivfly trademarks, copy, product content, or other intellectual property.
10. Suspension, termination, and updates
Either party may discontinue the wholesale relationship. Rivfly may suspend or terminate an account for material breach, non-payment, misuse, inaccurate application information, or conduct that creates legal, customer, or brand risk. Accepted orders and amounts already paid will be handled under their written order terms. Rivfly may update this policy prospectively and will notify active dealers of material changes.
11. Acceptance and contact
This policy and the written pricing and order information supplied by Rivfly form the baseline operating terms of the wholesale relationship. Order-specific written terms control for that order if they conflict with this policy. Checkbox acceptance is recorded with the wholesale application; no second signature is required unless Rivfly later requests one for materially revised or order-specific terms.
